Terms, scope, privacy, and operating boundaries for Confidential Executive Private Advisory.

This page describes the legal, operational, privacy, and confidentiality boundaries under which Confidential Executive Private Advisory operates. It is intended to be read in full before any Private Fit Consultation is submitted and before any membership is entered.

1. Engagement Model

Confidential Executive provides private advisory and consulting services to ultra-high-net-worth principals, founders, executives, heirs, and families navigating wealth, decision pressure, leadership, identity, family complexity, and legacy.

The work is informed by Jerry D. Smith Jr., Psy.D.'s background in clinical and forensic psychology, but Confidential Executive is structured and delivered as advisory and consulting work, not psychotherapy.

The Inner Ledger Private Briefing

Free written publication.

Receiving the briefing does not create an advisory relationship, a psychotherapy relationship, or any ongoing professional relationship of any kind.

A Private Fit Consultation

$2,500 – $5,000 USD · Single paid consulting session, by application.

Creates a limited, single-session consulting relationship governed by a short consultation agreement signed before the session. Does not create an ongoing membership relationship unless both parties later agree in writing.

Confidential Executive Private Advisory

Annual membership · By invitation following a Fit Consultation.

Creates an ongoing consulting relationship governed by a full engagement agreement. Family Legacy Advisory and High-Stakes Decision Intensives are variants of this tier.

2. Scope

What This Service Is

A private advisory and consulting engagement designed for high-discretion principals and families seeking psychologically informed decision support around:

  • Judgment and identity
  • Family dynamics and succession
  • Leadership pressure and role conflict
  • The psychological architecture of wealth, power, and legacy

The work may include strategic reflection, decision framing, family-system pattern review, role conflict mapping, and high-stakes thinking support.

What This Service Is Not

  • Psychotherapy, therapy, counseling, or diagnosis
  • Treatment planning or psychiatric care
  • Formal psychological assessment or emergency mental health care
  • Coaching, executive coaching, or life coaching
  • Legal, tax, accounting, investment, or medical advice
  • Medication management or medical treatment of any kind

Although Jerry is a licensed clinical and forensic psychologist, clients should not understand these engagements as establishing psychotherapy or a psychologist-patient relationship through Confidential Executive.

Jurisdictional Rules

Jerry D. Smith Jr., Psy.D. holds a clinical psychology license in the State of Texas. That professional background informs the rigor and boundaries of this work, but Confidential Executive is offered as a private advisory and consulting service — not as psychotherapy or clinical treatment rendered through this website. For clients residing outside the United States, the engagement is governed by the engagement agreement and applicable law, subject to any local restrictions. Nothing on this site should be interpreted as an offer of psychotherapy or regulated clinical treatment in any jurisdiction.

3. Privacy and Data Handling

Privacy is foundational to the work. The following principles govern how data is handled inside Confidential Executive and inside The Life Performance Room.

Engagement Data

Name, contact information, billing data, agreements, and administrative records.

Session Records

Notes and working records maintained as required by the structure of the engagement and applicable law.

Room Data

Private writing, voice notes, decision memos, quarterly reviews, and structured materials created inside The Life Performance Room.

Administrative Data

Scheduling, payment, and communications metadata.

How Data Is Handled

Encryption at rest and in transit.

Minimum necessary collection only.

No advertising, no third-party data sales, and no data-broker relationships.

No engagement analytics layer designed to profile members for marketing purposes.

Human review of member content by Jerry personally within the scope described in the engagement agreement.

Member Rights

Members may request: access to the data held about them, correction of inaccuracies, export of member-created Room content where technically feasible, and deletion of data subject to the retention periods and legal limits described below.

Cross-Border Data

The service operates from Okinawa, Japan, and certain subprocessors may operate in the United States and other jurisdictions. By engaging, members consent to the transfer of data across the jurisdictions reasonably necessary to deliver the service. Any separate clinical work engaged outside Confidential Executive is governed independently under the rules of the relevant licensing jurisdiction, practice setting, and applicable agreement.

4. HIPAA Applicability

Because Confidential Executive is structured as an advisory and consulting service rather than psychotherapy or clinical treatment, the engagement is generally not intended to be a HIPAA-covered relationship.

Applicable Standards

The privacy, confidentiality, and data-handling standards that apply are those described on this page and in the engagement agreement — not HIPAA's clinical treatment framework.

Written Notification at Intake

Clients are notified in writing at intake of the confidentiality framework governing the specific engagement, including the legal, contractual, and professional limits that apply.

If you or someone you are responsible for is in immediate crisis, do not use this site or wait for a response.

6. Recordkeeping

Records are maintained in accordance with the structure of the engagement, applicable law, contractual necessity, and any professional obligations that apply.

Retention Periods

On termination of membership, members may receive written notice of which records are retained, under what framework, and for how long non-essential data will remain in the system. Records may be disclosed under valid legal process or where disclosure is required by law.

7. Testimonials

We do not publish identifiable testimonials. The confidentiality promise to members is central to the service.

You will not see another principal's name attached to a public quote about working with Jerry on this site or elsewhere.

No Named Quotes

Named or identifiable quotes from clients are never published.

No Logos

Logos of companies, families, or family offices are not displayed.

No Photographs

Photographs of identifiable clients are never used.

No Traceable Case Studies

Case studies that could reasonably be reverse-identified are not published.

Where work is referenced publicly, it is either fully de-identified, materially altered to prevent identification, or presented as composite material. Members are not asked to provide public testimonials, and no incentive is offered for testimonial content.

8. AI Usage Disclosure

Confidential Executive uses artificial intelligence only in narrowly defined, disclosed ways.

Where AI May Be Used

  • Public-facing marketing operations, including drafting or editing website copy and similar non-member-facing materials
  • Administrative support tools where appropriate and privacy-reviewed
  • Transcription of recorded material only where explicitly requested by the member, consented to in writing, and documented in the engagement agreement

Where AI Is Not Used

  • Case formulation or member-specific professional judgment
  • Reading, summarizing, scoring, embedding, indexing, or analyzing private member writing or voice notes inside The Life Performance Room
  • Producing recommendations to members
  • Risk scoring, profiling, or behavioral prediction of members

9. Refund and Cancellation Policy

Private Fit Consultation

The fee is collected only after an application is reviewed personally and an applicant is invited to schedule.

Refunds are processed to the original payment method within 3 business days.

Confidential Executive Private Advisory

The annual membership is paid annually in advance, or in installments specified in the engagement agreement.

First 30 Days

Defined review and wind-down window, subject to the refund structure specified in the engagement agreement.

After 30 Days

Generally non-refundable for the remainder of the annual term unless otherwise stated in writing.

Termination for Cause

May result in a prorated refund of unused months as defined in the engagement agreement.
